1. Acceptance of Terms
Welcome to the official website of Kernel IT Solutions (kernelme.com). By accessing, browsing this website, or contracting with us for ERP software implementation and development services, you explicitly agree to be bound by all terms and conditions stated in this agreement.
2. Scope of Services & Proposals
Kernel IT Solutions defines the scope of work and technical specifications based on the formal discovery session, Gap Analysis report, and approved technical proposal. Any additional features or modifications outside the agreed scope shall be subject to a new addendum with separate cost and delivery timelines.
3. Intellectual Property & Software Rights
Software and custom developments are governed by the following rules:
- Full ownership of custom code and bespoke developments created specifically for the client transfers upon complete settlement of all project invoices.
- All intellectual property rights regarding Kernel's logo, brand identity, and original website content remain exclusively reserved by Kernel IT Solutions.
- The underlying Odoo ERP platform is subject to open-source licenses or licensing from the parent company (Odoo S.A.), depending on the deployed edition (Community / Enterprise).
4. Financial Obligations & Payment Terms
The client agrees to make payments according to the milestone schedule outlined in the financial proposal. Kernel reserves the right to pause project deliverables or freeze development in the event of payment delays exceeding the contractual dates.
5. Client Responsibilities & Data Provision
The client is responsible for providing necessary data, system access, and appointing a dedicated project manager to facilitate testing and validation. Delays on the client's part will automatically adjust the final delivery timeline accordingly.
6. Warranty Period & Technical Support
Kernel provides 3 months of complimentary technical support starting immediately from the official Go-Live date to resolve any bugs or operational issues resulting from implementation. This warranty excludes new custom feature requests or user error caused by improper operation.
7. Limitation of Liability & Confidentiality
Both parties undertake to maintain strict confidentiality regarding commercial, financial, or technical data accessed during the project. Kernel shall not be liable for indirect losses or data loss resulting from unauthorized third-party interventions or improper system usage.
